Thalor App Terms of Use
Effective date: October 14, 2026
These terms are an agreement between you and Thalor Technologies Inc. ("Thalor," "we," "us"). They cover the Thalor app at app.thalorworks.com, including its invitation and answer features (the "Service"). They do not govern the separate services and forms on thalorworks.com or renting Ode, the floating workspace. A separate agreement is needed for those activities.
Our App Privacy Policy explains how we handle personal information. Contact us at hello@thalorworks.com or Thalor Technologies Inc., PO Box 761, Metlakatla, AK 99926.
1. Accepting these terms and who may use Thalor
You accept these terms when you select an agreement control that clearly refers to them, or otherwise expressly agree to them. Merely receiving a link or viewing these terms does not create an agreement. If you do not agree, do not create an account or use the Service beyond viewing its public information.
You must be at least 18 years old and legally able to enter this agreement. The current pilot is intended for people in the United States. You must comply with laws applicable to your use, including restrictions on access and export.
If you accept for a business or other organization, you represent that you are authorized to bind it; "you" then includes that organization. Each person using an account must also follow the use and conduct rules. A public agency or tribal entity must obtain any approvals it requires before using the Service for official business. These terms do not waive governmental or tribal immunity, override mandatory public-records duties, or supply authority that a user does not have.
2. What the Service does
Thalor helps people coordinate physical work on the water. Each piece of work or project is called a Work. Features can include descriptions and photos, AI drafts, questions and answers, marking things done, invitations (including finding people on Thalor by name), conversations on a Work and with the Thalor team (Message Thalor), materials and equipment lists, updates, and invoice preparation. Available features and access limits may change during the pilot.
Thalor provides coordination software. Using it does not make Thalor a contractor, employer, vessel operator, broker, insurer, agent, or party to a transaction between participants. A role, answer, completion entry, or payment-status entry is a record entered by a participant (or by the Thalor team relaying what someone said), not independent verification by Thalor.
We do not verify participants' skills, licenses, insurance, authority over a vessel or property, or identity beyond the account-access checks the Service performs. You are responsible for selecting participants and checking qualifications, permissions, insurance, permits, safety requirements, prices, and contract terms relevant to your Work.
Support may help coordinate a Work, but this does not by itself make Thalor responsible for performing or supervising the physical work. Any separate commitment by Thalor to provide physical services must be expressly agreed in a separate contract. Nothing here excuses liability that the law does not allow us to exclude.
The Service is not an emergency or safety-monitoring system. Messages may not trigger notifications, and support is not continuously monitored. Contact appropriate emergency services directly when needed.
3. Your account and access
Use an email address you control, provide accurate account information, and use one account per person. Keep your email and device secure, do not share sign-in codes, and sign out on shared devices. Tell us promptly if you suspect unauthorized access.
You are responsible for your own actions and the use you authorize. These terms do not make you automatically responsible for every unauthorized act or for failures caused by Thalor. We may restrict access reasonably necessary to investigate or contain suspected misuse.
Access may be limited to approved participants or invitations. An invitation does not guarantee admission, and the Service may impose reasonable usage limits. Do not transfer or sell accounts or invitations.
4. Using the Service responsibly
You must have the rights, permissions, and lawful authority needed to upload information and share it through the Service, including with the providers used for the features you choose. Add only information reasonably needed for the Work. Take particular care with information or photos concerning people who do not use Thalor.
Do not:
- Use the Service for unlawful activity, fraud, threats, harassment, exploitation, or infringement of another person's rights.
- Impersonate someone, misrepresent your authority or qualifications, or falsely claim to speak for Thalor.
- Access accounts or Work without permission, misuse a link intended for someone else, defeat access controls, or interfere with the Service.
- Send unwanted invitations or spam, distribute malicious code, or use automation to scrape information or evade usage limits without our permission.
- Upload passwords, sign-in codes, Social Security numbers, identity-document numbers, card security codes, or other information the Service is not designed to hold.
- Use Work records outside their intended purpose in a way that violates confidentiality, privacy, intellectual-property rights, or applicable law.
You may keep or share records where reasonably needed to perform the Work, obtain professional advice, maintain accounting or legal records, exercise a legal right, or comply with a lawful disclosure duty. Share only what is appropriate and respect any separate confidentiality obligations.
If you discover a security issue, report it privately to hello@thalorworks.com. Do not continue into other people's data, retain unnecessary copies, disrupt the Service, or publicly expose personal information. A good-faith report is not itself a violation; this paragraph does not authorize intrusive testing or conduct prohibited by law.
5. Your content and permission to operate the Service
"Content" means information submitted through the Service, including text, photos, answers, messages, lists, and invoices. You retain the rights you hold in your Content. These terms do not transfer ownership of other people's materials to you.
You grant Thalor a nonexclusive, worldwide, royalty-free license to host, store, copy, back up, format, transmit, display, and process your Content only as reasonably necessary to provide, secure, support, and improve the Service in the ways described in the Privacy Policy. This includes sending relevant inputs to service providers for the features you use and displaying shared Content to the relevant participants and support team.
We may allow service providers to exercise those rights only as needed for those purposes. This license does not authorize us to sell your Content, use it in public advertising, or disregard our privacy commitments. Permission to improve the Service remains subject to the choices and limits stated in the Privacy Policy.
The license lasts while we lawfully retain Content for those purposes. After you leave or close your account, it continues only to the extent needed for permitted shared records, applicable retention duties, backup cycles, security, or resolving legal claims. It remains subject to applicable deletion rights and does not authorize indefinite retention merely because it is a license.
As between you and Thalor, we assign to you any rights we hold in AI output specifically generated for you, to the extent those rights can legally be assigned. We retain rights in the underlying software, models, general templates, and other Service materials. AI output may not be unique or eligible for copyright protection, and it may implicate third-party rights. Review it before using it.
You may use the Service for your personal or organizational Work under these terms. Thalor and its licensors retain their rights in the Service, software, branding, and materials other than your Content and the output rights described above. No right to use Thalor's branding or redistribute its software is granted.
If you voluntarily provide suggestions about the Service, we may use them to improve it without paying you or attributing the idea to you. This does not authorize disclosure of personal information or confidential Work content outside the Privacy Policy.
6. Shared Work, invitations, and support
People on a Work can see its shared history, including contributions made before they joined. The Work owner and the Thalor team can manage participation. Removing a person limits future in-app access but cannot recover screenshots, downloaded invoices, or other copies.
An answer link shows the asker's first name, the Work's title and the selected questions and photos to the first person who signs in with it. It works once and expires after 14 days. Check recipients carefully. Do not use such a link to share information that requires verified identity or stronger access restrictions.
Contributions to shared Work may remain after you leave, are removed, or close your account, subject to applicable law and the Privacy Policy. Removing your display name does not guarantee that a contribution is anonymous. Contact us to review specific content containing identifying or sensitive information.
The Thalor team can access Work and related account information for support and operating the Service, including conversations and invoice drafts, as explained in the Privacy Policy. This administrative access is separate from joining a Work as a visible participant.
7. AI drafts and decisions
AI output can be inaccurate, incomplete, unsuitable, or inconsistent. Review and correct drafts before confirming, sharing, or acting on them. Actions such as "Looks right", "Start Work", "Mark done" or "Check it's done" record a person's decision; they do not certify the information as true or safe.
Thalor's suggestions are information, not professional advice, inspection or certification. Thalor never certifies that anything is safe, sound, legal, rated or ready to use. You are responsible for the Work. Have a qualified person check anything that involves:
- electricity above 50 volts AC or 120 volts DC, shore power, or inverters;
- fuel or gas;
- structure, lifting, rigging, or cranes;
- the hull below the waterline, through-hulls, or seacocks;
- pressure, hydraulic, or refrigerant systems;
- confined spaces or bad air;
- hot work near fuel;
- life-safety gear;
- working at height.
Beta. Some features, such as talking with Thalor about a Work, are a beta: a test while we learn what works. A beta feature may change or stop. It may cost money later; if it does, we will tell you the price first and ask you before you pay. It may be wrong. It does not take the place of a qualified person.
Do not rely on the Service as professional engineering, marine-surveying, navigation, safety, environmental, legal, tax, or financial advice. Obtain competent advice and on-site assessment when appropriate. You and the other participants remain responsible for decisions about methods, dimensions, materials, permits, safety, scheduling, and physical work.
8. Invoices and agreements between participants
The invoice issuer is responsible for the invoice and the underlying transaction. Check quantities, prices, calculations, tax rates, customer details, legal requirements, and payment instructions before issuing. Thalor does not select your prices or tax treatment or verify that a charge is owed.
Issued invoices are locked and numbered in the app. To correct one, use the available void-and-reissue process and comply with applicable accounting requirements. Keep your own copies of records needed for your business.
You arrange delivery of invoices and payments. Thalor does not send invoices on your behalf, process payments, hold funds, guarantee collection, or confirm bank transfers. Marking an invoice paid is a record entered by the invoice's issuer. Disputes over physical work, prices, payment, or performance are between the relevant participants, subject to any independent legal responsibility Thalor may have.
9. Fees and changes to the Service
The current pilot is free. We will not charge you or enroll you in a paid plan without first disclosing the price and payment terms and obtaining your separate affirmative agreement. You can decline a paid offer. Free access is not a promise that every feature will remain available indefinitely.
The Service may be interrupted or changed. Where reasonably practicable, we will give advance notice of a significant withdrawal of functionality or planned shutdown and a reasonable opportunity to save important records. Urgent security, legal, or operational issues may require immediate action. Maintain your own copies of information you need; local drafts and app history are not guaranteed archival storage.
10. Suspending or ending access
You may stop using the Service at any time. Contact us to close your account or request deletion under the Privacy Policy.
We may restrict Content or suspend or end access when reasonably necessary because of a material violation of these terms, suspected fraud or unauthorized access, a security or safety risk, a legal requirement, or discontinuation of the pilot. Where practicable and lawful, we will explain the reason and give you an opportunity to address it. We may act immediately where delay would create risk.
You can ask us to reconsider by emailing hello@thalorworks.com. Ending access may disable sign-in and outstanding invitations. It does not automatically delete records or settle obligations between Work participants. We will handle requests for your information under the Privacy Policy and applicable law.
11. Warranties and limitations of liability
To the extent permitted by applicable law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted or error-free operation, preservation of every record, accuracy of AI output, or the quality or outcome of work performed by participants.
Subject to the exceptions below, and to the extent permitted by law, Thalor is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Service, including lost profits or business opportunities when they are indirect or consequential losses.
Subject to the same exceptions, Thalor's total liability arising out of or relating to the Service or these terms will not exceed the greater of US $1,000 or the amount you paid Thalor for the Service during the twelve months before the event giving rise to the claim. These limitations apply regardless of the legal theory of a claim and even if a type of loss was foreseeable.
Exceptions: Nothing in these terms excludes or limits liability for our fraud, willful misconduct, gross negligence, death or personal injury caused by our negligence, breach of a duty of confidentiality or a legal obligation to protect personal information, or any liability or remedy that applicable law does not allow to be excluded or limited. Nothing takes away mandatory consumer rights.
These terms do not require you to indemnify Thalor or pay its legal-defense costs merely because you use the Service. Each party remains responsible for its own conduct as provided by law.
12. Disputes and applicable law
Alaska law and applicable federal law govern these terms, without applying conflict-of-law rules that would defeat mandatory protections. This choice does not override applicable tribal law, jurisdiction, immunity, or nonwaivable protections under another law.
If a problem arises, please contact us so we can try to resolve it. Contacting us is not a prerequisite to a claim, does not shorten a filing deadline, and does not prevent urgent relief or a complaint to a regulator.
Disputes may be brought in a court with lawful jurisdiction and venue. These terms do not impose binding arbitration, an exclusive forum, a class-action waiver, a jury-trial waiver, or a shortened time limit for bringing a claim.
13. Changes to these terms
We will post revised terms with an updated effective date. For a material change, we will give notice in the app or by email before it takes effect and, where required, ask for your agreement. If a legal or urgent security requirement calls for a shorter period, we will explain that when practicable.
If you decline revised terms, you may stop using the Service and request your information or account closure. We may discontinue your access to features offered only under the revised terms. Changes do not retroactively alter accrued claims or authorize new uses of personal information contrary to earlier privacy commitments.
14. Other provisions and complaints
These terms, together with any expressly agreed supplemental terms, form the agreement about the Service and replace earlier agreements on that subject from the time you accept them. The Privacy Policy governs our statements about personal information; nothing in these terms expands its permitted uses. A separate signed agreement controls a conflict within its stated scope.
If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. Failing to enforce a provision once does not waive it. You may not transfer your account or this agreement without our consent, except where law permits. Thalor may transfer this agreement as part of a reorganization or business transfer to a successor that assumes its obligations, subject to applicable law and privacy commitments.
Provisions that by their nature need to continue after access ends will survive, including ownership, the limited continuing Content license, lawful record retention, liability provisions, disputes, and accrued rights and obligations. There are no intended third-party beneficiaries.
To report a privacy, safety, or intellectual-property concern, email hello@thalorworks.com with your contact information, the relevant Work or item, and an explanation. For copyright complaints, identify the copyrighted work, the material and its location, and your authority to act. We may request supporting information and remove or restrict material where appropriate or required. We may terminate accounts of repeat infringers in appropriate circumstances.
We may send service notices to your account email or provide them in the app, subject to any legally required delivery method. Keep your contact information current. An in-app notice is not a guarantee that you will receive a separate message alert.
